1. Agreement to Terms

By accessing or using AirDiff ("Service"), operated by ModernStack ("we," "us," or "Company"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

AirDiff is a SaaS platform that provides:

  • • Airtable schema change tracking and monitoring
  • • Visual schema history and analytics
  • • Change detection and reporting
  • • Export capabilities for documentation
  • • API integration for automated tracking

3. Account Registration

Account Requirements

  • • You must provide accurate and complete information
  • • You must be at least 18 years old
  • • You are responsible for maintaining account security
  • • You must notify us immediately of any unauthorized access
  • • One person or legal entity per account

Account Security

  • • You are responsible for all activities under your account
  • • Keep your password confidential
  • • Use strong, unique passwords

4. Subscription Plans and Billing

Billing Terms

  • • Paid plans may include a free trial period
  • • Billing is recurring monthly via Stripe
  • • Prices are in USD unless otherwise stated
  • • Fees are non-refundable except as required by law
  • • We may change prices with 30 days notice

Payment Processing

  • • Payments processed securely through Stripe
  • • You authorize automatic recurring charges
  • • You must provide current, complete payment information
  • • Failed payments may result in service suspension

Cancellation and Refunds

  • • Cancel anytime through your account dashboard
  • • Cancellation takes effect at the end of current billing period
  • • No partial month refunds
  • • Downgrading takes effect immediately with prorated credit

5. Acceptable Use Policy

You May Not:

  • • Violate any laws or regulations
  • • Infringe on intellectual property rights
  • • Transmit malware or malicious code
  • • Attempt to gain unauthorized access
  • • Interfere with service operation
  • • Reverse engineer the Service
  • • Resell or redistribute the Service
  • • Use the Service to harm or harass others
  • • Exceed your plan's usage limits
  • • Share account credentials

API Usage

  • • API keys are for your use only
  • • Do not share or publicize API keys
  • • Respect rate limits per your subscription
  • • Report compromised keys immediately

6. Intellectual Property

Our Property

  • • The Service, including all content, features, and functionality
  • • All trademarks, logos, and brand features
  • • Our proprietary schema tracking technology
  • • Documentation and support materials

Your Content

  • • You can export and delete your data at any time
  • • Any feedback you provide becomes our property
  • • We may use aggregated, anonymized data for improvements

License to Use

  • • We grant you a limited, non-exclusive, non-transferable license
  • • License is contingent on compliance with these Terms
  • • License terminates upon account closure

7. Data and Privacy

Data Processing

  • • We process data as described in our Privacy Policy
  • • You grant us license to process data for service provision
  • • You can export and delete your data anytime

Data Security

  • • We implement industry-standard security measures
  • • We use encryption for sensitive data
  • • We maintain data isolation between users
  • • We cannot guarantee absolute security

8. Third-Party Services

Airtable Integration

  • • Service requires valid Airtable account
  • • Subject to Airtable's terms and conditions
  • • We are not affiliated with Airtable
  • • Airtable changes may affect Service functionality

Other Integrations

  • • Stripe for payment processing
  • • Supabase for data storage
  • • Third-party services have their own terms

9. Service Availability

Uptime

  • • We strive for reasonable uptime
  • • Scheduled maintenance will be announced when possible
  • • We are not liable for third-party outages

Modifications

  • • We may modify features at any time
  • • Material changes will be announced
  • • Continued use constitutes acceptance

Suspension

We may suspend access for:

  • • Terms violations
  • • Payment failures
  • • Security concerns
  • • Legal requirements

10. Warranties and Disclaimers

Service Provided "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

  • • MERCHANTABILITY
  • • FITNESS FOR A PARTICULAR PURPOSE
  • • NON-INFRINGEMENT
  • • ACCURACY OR RELIABILITY

WE DO NOT WARRANT THAT:

  • • The Service will meet your requirements
  • • The Service will be uninterrupted, secure, or error-free
  • • Results obtained will be accurate or reliable
  • • Any errors will be corrected

11. Limitation of Liability

MAXIMUM LIABILITY

IN NO EVENT SHALL MODERNSTACK, ITS OWNER, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • • LOSS OF PROFITS, DATA, USE, OR GOODWILL
  • • BUSINESS INTERRUPTION
  • • SUBSTITUTE GOODS OR SERVICES
  • • ANY DAMAGES RESULTING FROM YOUR USE OF THE SERVICE

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • • THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM
  • • FIFTY DOLLARS ($50)

ESSENTIAL PURPOSE

THESE LIMITATIONS APPLY EVEN IF:

  • • WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
  • • ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE

Exceptions

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS MODERNSTACK FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM:

  • • Your use of and access to the Service
  • • Your violation of these Terms
  • • Your violation of any third-party right
  • • Any harm caused by your use of the Service
  • • Your content or data

This indemnification obligation will survive termination of these Terms.

13. Termination

By You

  • • Close account anytime through dashboard
  • • Export data before termination

By Us

  • • For any reason with or without notice
  • • For Terms violations
  • • For non-payment
  • • For illegal activities

Effect of Termination

  • • Access immediately revoked
  • • Data may be deleted
  • • Paid fees non-refundable
  • • Sections 6, 10, 11, 12, and 14 survive termination

14. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Dispute Resolution

  • • Any disputes shall be resolved in the state or federal courts located in New York
  • • You waive any objection to jurisdiction and venue in such courts
  • • NO CLASS ACTIONS: You may only resolve disputes with us on an individual basis

Time Limitation

Any cause of action must be filed within one (1) year after the claim arose.

15. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and ModernStack regarding AirDiff.

Severability

If any provision is unenforceable, the remaining provisions continue in effect.

Waiver

No waiver of any term shall be deemed a further waiver.

Assignment

You may not assign these Terms. We may assign them without restriction.

Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control.

16. Specific Service Terms

Schema Tracking

  • • Accuracy depends on Airtable webhook reliability
  • • Historical data limited by subscription tier
  • • Deleted Airtable bases cannot be recovered

Export Limitations

  • • Export limits per subscription tier
  • • Exports reflect data at time of generation
  • • Format limitations may apply

API Limitations

  • • Rate limits enforced per tier
  • • API changes may occur with notice
  • • Backward compatibility not guaranteed

The Service is not intended to provide legal, financial, or professional advice. Use at your own risk.

17. Updates to Terms

  • • We may update these Terms periodically
  • • Material changes require 30 days notice
  • • Continued use after changes constitutes acceptance
  • • Check "Last Updated" date for latest version
